Terms of sale
Purpose
These terms of sale govern the relationship between TCVH STRATEGIC, a French single-shareholder simplified joint-stock company (SAS) with share capital of 400 euros, registered in Paris under 909 731 226, registered office at 61 rue de Lyon, 75012 Paris, France ("Synodeo"), and any individual wishing to enroll in a Synodeo program. Enrolling implies unconditional acceptance of these terms.
Synodeo programs are open to individuals residing outside the United States and Canada, territories excluded from the scope of TCVH STRATEGIC's professional liability insurance. No enrolment is accepted from those territories.
Nature of the programs
Synodeo programs (Tutor, Mentor, Coach, Trainer, Supervisor & Training Designer, Hypnosis, ePNL, and specializations) are delivered 100% remotely, via the app.synodeo.com platform. Synodeo awards its own diplomas. The diplomas and certificates awarded by Synodeo are internal certifications: they are neither a national diploma, nor a title listed in the RNCP, nor a state-recognised professional certification, nor an authorisation to practise a regulated profession. The hypnosis, ePNL, coaching and support programs confer no medical, paramedical or psychotherapeutic competence. These programs are not eligible for funding through the French Compte Personnel de Formation (CPF) or OPCO operators. An employer may fund an employee's training by direct payment under a training agreement; where funding would go through an OPCO or a sector scheme, Synodeo refers the candidate to a Qualiopi-accredited partner organisation. Prices are public and firm: they appear in the table below and on synodeo.com, and are identical for every Client on the same program. The free, no-obligation professional assessment does not set the price of the program: it sets the syllabus, any exemptions, and therefore the length of the subscription. Each program is payable and accessible over a twelve (12) month period, the same for every Client on a given program, from the date platform access opens. Where the assessment grants exemptions for prior learning, those exemptions lighten the syllabus to be covered: they reduce neither the duration nor the price. The Client keeps twelve months of access and the full support package to complete a shorter syllabus; beyond 75 exempted hours the candidate is directed to the VAE route. At the end of the twelve months, access is renewed automatically and free of charge for a further twelve months, with no action required from the Client and no invoicing: this renewal covers access to the content, e-mail support, and the marking of assignments, the final review and the award of the diploma, excluding any additional video session. The Client may decline it by e-mail. After that renewal period, they keep read-only access to their materials for twelve months, renewable free of charge for a further twelve months on request.
Synodeo is bound by an obligation of means: it deploys the teaching, human and technical resources described in the training contract, and guarantees no particular professional outcome at the end of the program - no job placement, no business growth, no automatic success in assessments.
Accessibility and disability
Synodeo programs are built for remote study, which removes a number of access barriers by design: no travel, no classroom, no fixed timetable. The work is done from home, at the Client's own pace, on a platform available at any time. Content, submission arrangements and the schedule of exchanges can also be adjusted to individual circumstances.
A dedicated conversation is open to anyone who wants one, free of charge and with no commitment. It can be requested through the site's contact form, or held as part of the entry assessment. No supporting document is required to ask for it, and no health information is requested: the Client shares only what they consider useful for the adjustment to be relevant.
Synodeo's disability officer is Thibault Velez, Director of Studies (contact@synodeo.com). He reviews with the candidate the adjustments that are possible, in the light of their situation, the requirements of the framework in question and the school's actual means. Three outcomes are possible: the adjustment is made - materials, assessment methods, pace or format of exchanges; it exceeds the school's means, in which case Synodeo refers the candidate to a better-equipped partner establishment for an equivalent program; or no satisfactory solution exists, and Synodeo says so before any contractual commitment, with nothing payable by the candidate.
In every case this review takes place before entry into the program, and it conditions neither access to the assessment nor the price of the program.
Contracting process
The candidate submits a request via the assessment form on the site. Synodeo conducts the assessment and provides a written proposal setting out the syllabus, any exemptions, the support included and, where relevant, any recommended additional packages. The price of the program and its duration, both public and firm, are known to the Client before the assessment; the proposal changes neither, and bears only on the syllabus to be covered. If accepted, an individual professional training contract is drawn up (for individuals) or a training agreement (for organizations), specifying the objective, content, duration, evaluation methods, and price. The internal rules applicable to people in training, established under Article L.6352-3 of the French Labour Code, are brought to the candidate's attention before final enrolment, together with these terms and the training contract. These terms of sale apply in addition to that contract.
Right of withdrawal
The programs are delivered by TCVH STRATEGIC as a professional training organization within the meaning of the French Labour Code, whose declaration of activity with the DREETS is being processed. As such, all training programs offered by Synodeo fall under the individual training contract regime set out in Articles L.6353-3 to L.6353-7 of the French Labour Code. In accordance with Article L.6353-5, a candidate who enters into such a contract on an individual basis has a period of ten (10) days from the date of signature to withdraw, by any means providing proof of the date. No payment may be requested before this period expires. This regime replaces the standard withdrawal right for distance contracts (Article L.221-18 of the French Consumer Code, which provides for a fourteen-day period).
Pricing and payment terms
The price of each program is public and firm. It appears in the table below and on synodeo.com, following the assessment, and stated in the training contract. Prices are expressed inclusive of all taxes, including standard-rate VAT at 20%.
The program is paid in equal, consecutive monthly installments, twelve (12) in number, matching the length of the subscription — the same for every Client on a given program, whether exemptions were granted or not. This is the only method offered: paying the price in a single payment is not possible, article L.6353-6 of the French Labour Code requiring payment to be spread across the delivery of the training corresponding to the twelve months of access and mentoring. Each installment represents the consideration for the current month of access to the app.synodeo.com platform (Moodle). This installment plan is not a consumer credit arrangement within the meaning of Article L.311-1 of the French Consumer Code, but the payment for a service being delivered.
In accordance with Article L.6353-6 of the French Labour Code: no amount may be requested or collected before the ten-day withdrawal period expires; if a first installment is collected once that period expires, its amount remains below the 30% cap on the agreed price - since each installment equals one-twelfth of the total price, that is 8.33%, this cap is systematically respected; the balance is paid in installments as the program progresses.
SEPA direct debits are processed via GoCardless according to the schedule attached to the contract. An invoice is issued by Synodeo for each installment. The direct debit mandate is signed on a secure page hosted by GoCardless SAS (7 rue de Madrid, 75008 Paris, France - Paris Trade Register 834 422 180, a payment institution authorised by the ACPR under bank code 17118); bank details are entered and held exclusively by GoCardless. Synodeo never has access to them. For the processing of your payment data, GoCardless acts as an independent data controller and not as a processor on behalf of Synodeo; you may exercise your rights directly with them. Their privacy policy is available at gocardless.com and is provided to you when the mandate is signed.
The candidate may request to stop the installment plan at any time by e-mail to contact@synodeo.com. This stop, effective within forty-eight (48) hours, results in the immediate suspension of platform access and the application of the cancellation policy below for the portion of the program not yet delivered. Any direct debit scheduled after receipt of the stop request is cancelled.
In the event of a failed direct debit or non-payment by the due date, Synodeo sends an immediate reminder by e-mail, then suspends platform access after seven (7) days if the situation is not regularized. Amounts due for months already delivered remain payable; access is restored once regularized.

Nothing is added to the displayed price. No administration fee, no enrolment fee, no examination fee, no certification fee and no resit fee may be charged - the three validation attempts provided for in the assessment scheme are included in the price.
The support included in the price
The price of each program includes, alongside access to the content, the marking of all deliverables, the final review where applicable and the award of the diploma: a volume of one-to-one video coaching, firm and attached to the program as set out above, identical for every Client on the same program; and unlimited e-mail support. Video sessions are scheduled freely by the Client across the length of their subscription, in agreement with their referent; hours not used by its end are neither refunded, nor carried over, nor converted.
The Tutor program includes no video hours. This is disclosed to the candidate before any commitment, on the program page and during the assessment. E-mail support is included as it is on every other program, and video packages remain available.
Additional coaching packages
The Client may purchase one or more packages of four (4) hours of one-to-one video coaching, at three hundred (300) euros incl. tax, on top of the volume included. Purchase is optional and may take place at the assessment or at any point during the subscription. The amount is spread across the remaining instalments where at least three are outstanding; it is invoiced separately otherwise. The hours follow the same expiry rules as those included in the program.
E-mail support
Unlimited e-mail support is included in every program, without exception, including those with no video hours. The Client may send an unlimited number of questions about the content of their program, the deliverables expected and the working method; Synodeo undertakes to reply within seventy-two (72) working hours. Support with a professional situation the Client is living through - running an engagement, analysing a session, working on stance - falls under video coaching, that format requiring a live exchange. Support runs for the whole length of the subscription, including extension periods; it does not apply to the read-only period after the program.
Published prices and goodwill gestures
The prices above are public and firm. They apply to every Client on the same terms, regardless of the payment method, the number of programs purchased, how long the Client has been with us, or where their application came from, and no exemption granted at the assessment changes them. Synodeo operates no volume discount, no sliding scale and no negotiated rate; it reserves the right to make an exceptional, discretionary goodwill gesture in an individual situation, which creates no acquired right and sets no precedent.
Support for the recognition of prior learning (VAE)
Where the assessment concludes that the candidate's prior learning covers most of the framework in question, Synodeo may propose a recognition-of-prior-learning route leading directly to the corresponding Synodeo diploma. This service, distinct from a training program, is set by quote following the professional assessment: its content and its amount depend on the candidate's experience and the diploma in view. It includes one-to-one video support for writing the portfolio and preparing the defence, together with e-mail support. Organizing and sitting the jury is included in the tuition fees.
Employer funding
Where an employer funds a member of staff's program, the contractual relationship is governed by a training agreement between Synodeo and the legal entity, under article L.6353-2 of the French Labour Code, rather than by the individual training contract. As the 30% cap and instalment requirements of article L.6353-6 do not apply to that agreement, different payment terms - including payment in a single instalment - may be agreed. Prices remain those of the table above, with no discount. Under Articles L.441-10 and D.441-5 of the French Commercial Code, late payment of an invoice issued to a legal entity gives rise, by operation of law, to late-payment penalties (European Central Bank rate plus ten points) and to a fixed recovery indemnity of forty (40) euros. The ten-day withdrawal period and the 30% cap, specific to the individual training contract, do not apply to this agreement.
Cancellation and postponement
After the withdrawal period has expired: cancellation more than 15 days before the program's start date results in a full refund of amounts paid, with no fees withheld. Cancellation less than 15 days before the start date, or after the program has started, means amounts already paid remain with Synodeo; any remaining balance is no longer due. A single free postponement of the start date may be granted upon written request, subject to availability. If Synodeo cancels the program, the candidate is fully refunded, with no further compensation.
Once the program is under way, it may be suspended where the situation is serious and documented - a family event, job loss, a health problem or a comparable setback - in agreement with Synodeo's teaching team and on supporting evidence. Amounts still due remain payable; an extension of platform access may be granted free of charge, on top of the free month of extension and the read-only period set out above; it is not then subject to the €25 monthly charge.
Access to the program
The candidate's access to the app.synodeo.com platform is only activated once the ten-day withdrawal period mentioned above has expired, and after Synodeo has confirmed that no withdrawal notice was received. The contract is signed from the outset, but the actual opening of access is deferred until this period has passed, in accordance with Articles L.6353-5 and L.6353-6 of the French Labour Code. Once access is opened, the candidate receives their login credentials; they agree not to share these credentials and to use the platform for its intended educational purpose.
Intellectual property
The educational content made available on app.synodeo.com is the property of TCVH STRATEGIC / Synodeo and is reserved for the candidate's strictly personal use as part of their training. Any reproduction, distribution, or resale is prohibited.
Professional liability insurance
TCVH STRATEGIC's activities are covered by a professional liability policy underwritten by Hiscox SA, a Luxembourg insurance company with registered office at 35 avenue Monterey, L-2163 Luxembourg (Luxembourg trade register B217018), operating in France through its French branch, Hiscox France, 49 avenue de l'Opéra, 75002 Paris, registered in Paris under 833 546 989. Postal address: Hiscox Direct, TSA 49007, 60477 Compiègne Cedex, France - +33 1 78 41 58 41. Geographical coverage: worldwide, excluding the United States and Canada.
Personal data
The processing of the candidate's personal data is described in Synodeo's privacy policy.
Artificial intelligence
Synodeo uses an artificial intelligence tool in its internal work - designing and reviewing content, coordination, drafting documents - with systematic human review.
No AI system is involved in admission, in the positioning assessment and the exemptions granted, in the evaluation of assignments, in marking, in the final review, in the decision to award a diploma, or in monitoring people in training. All those decisions are taken by a person, and there is no automated decision-making within the meaning of Article 22 GDPR. No personal data concerning the Client is sent to any AI system.
The detail of these commitments, their basis under Regulation (EU) 2024/1689 and the circumstances in which they would be revised are set out in the AI usage charter, which forms an integral part of these terms.
Complaints and consumer mediation
Any complaint may be sent to contact@synodeo.com. If it does not lead to an amicable settlement, the consumer Client is entitled to use a consumer mediator free of charge, in accordance with Articles L.612-1 and L.616-1 of the French Consumer Code.
The designated mediator is MÉDIATION CONSOMMATION DÉVELOPPEMENT (MEDCONSODEV), a French simplified joint-stock company with share capital of 10,000 euros, registered in Saint-Étienne under 852 787 472, Centre d'Affaires Stéphanois - Immeuble L'Horizon, Esplanade de France, 3 rue J. Constant Milleret, 42000 Saint-Étienne, France. Online referral: www.medconsodev.eu - member reference: MED62660.
Mediation is free of charge for the Client and may only be initiated by them. The referral must be made within one year of the written complaint sent to Synodeo (Article L.612-2 of the French Consumer Code). Mediation is conducted within ninety days of the parties being notified of the referral, extendable for complex disputes. Referral to the mediator is optional and does not deprive the Client of any legal remedy.
Force majeure and negotiated exit
Neither party may be held liable for a delay or a failure to perform resulting from an event of force majeure within the meaning of Article 1218 of the French Civil Code, that is, an event beyond its control, which could not reasonably have been foreseen when the contract was concluded and whose effects cannot be avoided by appropriate measures. The following may constitute such an event, provided those three conditions are met in the case at hand: a natural disaster, fire, flood, storm or earthquake; war, a terrorist attack, civil unrest or a state of emergency; an epidemic or pandemic accompanied by restrictive administrative measures; a decision or injunction of a public authority making performance impossible; a general strike or a strike outside Synodeo, a blockage of transport or of energy supply; a major and prolonged failure of telecommunications networks, of the host or of the platform, outside Synodeo's control. This list is not exhaustive.
Performance of obligations is suspended for the duration of the event, each party informing the other without delay. Where the impediment is temporary, platform access is extended by an equivalent period, free of charge. Where it is permanent, the contract is terminated by operation of law under Article 1218(2) and the sums corresponding to the part of the program not delivered are refunded.
Negotiated exit for serious personal circumstances. Illness, an accident, bereavement, hospitalisation, job loss or a sudden family responsibility do not, in principle, constitute force majeure as defined above. Synodeo nonetheless undertakes to consider in good faith any request based on such a circumstance, made by simple e-mail to contact@synodeo.com. No medical evidence is required, and no health information need be disclosed. Depending on the situation, and by agreement between the parties, the request may lead to a suspension of the program with access extended accordingly, free of charge; to a postponement of the resumption date and a shift in the payment schedule; to a lighter timetable for assignments; or to an early exit from the program, with future collections stopped and the sums corresponding to the months already delivered remaining due. This review deprives the Client of none of the rights they hold under these terms, the training contract or the law.
Governing law
These terms of sale are governed by French law. In the event of a dispute, and failing an amicable agreement or recourse to the mediator, the consumer candidate may bring the matter before either the court with territorial jurisdiction under the French Code of Civil Procedure, or the court of the place where they resided at the time the contract was concluded.
